Welcome to PodSpin. These Terms of Service (“Terms”) govern your access to and use of the PodSpin website, platform, and services (collectively, the “Service”) operated by PodSpin (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and complete. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

PodSpin is an AI-powered podcast repurposing platform. You upload or link podcast episodes, and we generate content including transcripts, show notes, blog posts, social media posts, video clips, newsletters, chapters, and SEO content. The Service uses third-party AI providers to process your content, and outputs are generated automatically by artificial intelligence.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or abusive purposes.

4. Subscription and Payment

PodSpin offers paid subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method through Stripe on a recurring basis until you cancel.

• Billing: Subscriptions are billed at the start of each billing period (monthly or annually). Annual plans are billed as a single upfront payment.
• Monthly cancellation: You may cancel your monthly subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until then. No refunds will be issued for partial monthly billing periods.
• Annual cancellation: Annual subscriptions may be canceled at any time. If you cancel within 14 days of purchase, you are eligible for a full refund. After 14 days, no refunds will be issued. Upon cancellation, you will retain access to paid features until the end of your annual billing period, but the subscription will not renew.
• Price changes: We may update pricing from time to time. Existing subscribers will be notified at least 30 days before any price increase takes effect.

5. Plan Limits and Usage

Each subscription plan includes limits on the number of episodes and video clips you can process per billing period. If you exceed your plan’s limits, you will need to upgrade to continue using the Service. We reserve the right to throttle or restrict access if we detect abusive or excessive usage patterns that degrade the Service for other users.

6. User Content

Ownership:You retain full ownership of all content you upload to the Service, including audio files, text, and any other materials (“User Content”). You also retain ownership of the AI-generated outputs (transcripts, blog posts, social posts, etc.) created from your content.

License grant: By uploading content, you grant PodSpin a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your content solely for the purpose of providing and improving the Service. We will not use your content for any unrelated purpose without your consent.

Responsibility:You are solely responsible for the content you upload. You represent that you have all necessary rights and permissions to upload and process your content, and that it does not infringe on any third party’s intellectual property or other rights.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the website design, logos, graphics, software, and documentation — are the property of PodSpin and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our express written permission.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that infringes on intellectual property rights or contains illegal material
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or other harmful content
• Resell, sublicense, or redistribute the Service without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage

9. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate content from your podcast episodes. AI-generated outputs may contain inaccuracies, errors, or omissions. You are solely responsible for reviewing, editing, and verifying all generated content before publishing or distributing it. PodSpin does not guarantee the accuracy, completeness, or suitability of any AI-generated content and shall not be held liable for any consequences arising from its use.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. PodSpin disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or reliability of any content generated through the Service.

11. Limitation of Liability

To the fullest extent permitted by applicable law, PodSpin, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if PodSpin has been advised of the possibility of such damages. In no event shall PodSpin’s total aggregate liability to you for all claims arising out of or relating to the Service exceed the amount you have paid to PodSpin in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless PodSpin and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you upload to the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• All rights and licenses granted to you under these Terms will immediately cease
• You remain responsible for any outstanding fees owed prior to termination
• We will delete your content within a commercially reasonable timeframe, subject to legal retention requirements
• Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive termination

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. For significant changes, we may also notify you via email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PodSpin regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
